Data rooms are used to assist in the execution of many types of transactions where one party wishes to disclose a large amount of confidential information to proposed bidders during the due diligence process.

Traditional data rooms would be physically secured continually monitored at a lawyer's offices.

Bidders and their advisers would visit in order to inspect and analyze the documents and other information made available in the room.
